This Agreement gives you, as a user of our web site and user of our services, certain benefits, rights and obligations. By using the services and web site of Patentdata, you hereby accept the Terms and Conditions of this Agreement. No user shall be entitled to use the services if unwilling to comply with these Terms and Conditions, as follows:
1. Permitted Uses.
The Patentdata web site is owned and operated by PDS Media (Pty) Limited, a company registered in South Africa. All materials appearing on this web site, including site design, text, graphics, icon interfaces and the selection, assembly and arrangements are owned or licensed by Patentdata. Permission is granted to electronically copy and to print hard copy portions of these materials only as described on this site. Any other use of materials on this site, including but not limited to, reproduction for purposes other than those noted on our site, modification, transmission, display, distribution or republication, without the prior written permission of Patentdata is strictly prohibited. Elements of the site are also protected by trademark, copyright, trade dress and other laws and may not be imitated in whole or in part on other web sites.
2. Web Site Content
Most of the content in the Patentdata web site is provided by third parties. Patentdata is not responsible for the content of any of this third party data, nor is Patentdata responsible for the completeness or accuracy of any such data.
3. Links
When using our web site, you may sometimes be linked to other web sites. These web sites are not operated by Patentdata and may require you to agree to additional terms and conditions in order to access information or services from these web sites.
4. Registration
In order to access certain portions of our web site, gain access to certain databases and free services, and purchase the services available on our site, you must register with Patentdata by completing an applicable registration form. If you do not register, you will not be able to access our entire site. By registering, you agree to comply with the terms and conditions of this Agreement.
(i). Eligibility
Registration to our web site is limited to persons who are eligible to enter into contracts under applicable law. This means, among other requirements, you must be 18 years of age or older to be accepted as a registered user of our web site. If you do not meet these requirements, you cannot register on our web site. Patentdata reserves the right to reject your application to become a registered user. Patentdata also reserves the right to suspend user privileges and bloc access of any registered user who violates this Agreement.
(ii). User Password
When you register, you will be asked to create your own unique User Password which you will need in order to access certain restricted parts of our web site. You agree that the User Password is only for your personal use, and will not permit anyone else to use your User Password. You may not transfer your Password to anyone else.
(iii). Complete and Accurate Information
You represent and warrant to Patentdata that the information contained in your registration form is complete and accurate.
5. Privacy
Patentdata shall keep all information you provide to Patentdata confidential and private in accordance with our privacy policy.
6. Service Fees
Patentdata charges a fee for the use of certain services on our web site. The price, the payment method and other terms and conditions for each of these services are set forth on the web site.
7. Third Party Products and Services
Third parties provide some of the products and services that are available via our web site. Patentdata is not responsible for the content of any of these products or services, nor is Patentdata responsible for their completeness or accuracy. The purchase of any of these products or services is subjest to additional terms and conditions described at the location where you make your purchase. You should familiarize yourself with those terms and conditions before purchasing any of these products or services.
8. Payments
You agree to pay the fees for all services purchased. The current subscription fees are clearly marked on the web pages related to each specific service. Payment of subscriptions can by made online by credit card. Upon confirmation of payment you will obtain access to the services you purchased.
9.Refunds
Refunds of subscription fees will be given at the discretion of company management.
10. Arbitration
Any controversy or claim arising out of or relating to this Agreement or any of Patentdata services shall be settled by binding arbitration in accordance with the commercial arbitration rules of South Africa. Any such controversy or claim shall be arbitrated on an individual basis,and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in South Africa and judgment on the arbitration award may be entered into any court having jurisdiction. Either you or Patentdata may seek any interim or preliminary relief from a court of competent jurisdiction in South Africa necessary to protect the rights or property of you or Patentdata pending the completion of arbitration.
11. Termination
You may terminate your registration on our web site at any time by providing written or e-mail notice to Patentdata.Patentdata also reserves the right to terminate your registration. All applicable provisions of the Agreement will survive termination of this Agreement within thirty (30) days.
12. Disclaimer of Warranties
Access to the Patentdata web site and its content, products and services are provided "as is". Patentdata does not make any warranties or representations, expressly or implied, concerning the merchantability,quality,non infringement or fitness for a particular purpose of our web site or its content, products or services. You assume all risk of use. No warranty is given that the services will be error-free, free of virus or uninterrupted. Patentdata is not responsible for invalid destinations and transmission errors in, corruption of the security of information carried over telecommunications carriers' or other providers' facilities. Patentdata has no liability for faulty or interrupted communication links, or e-mails that are initiated via the listing(s), nor for the contents for any of such communications. Patentdata makes no representation with regard to any level of contact that end user customer can expect or will receive as a result of any listing(s).You acknowledge that substantial amounts of the content of the web site are provided by third parties, and Patentdata has no control over, or liability for any such content.Under no circumstances will Patentdata be responsible for the use by you of, or results achieved by you from the services or any data accessed through the web site.
13. Limitation of Liability
Patentdata shall not be liable to you or any third party for any direct, special, indirect, consequential or incidential damages incurred arising of the use or the inability to use the service, or out of any breach of a representation or warranty, regardless of the type of claim or the nature of the cause of action, even if Patentdata has been advised of the possibility of such damage or loss.
Except for the indemnification provisions in paragraph 12, you shall not be liable to Patentdata for any incidental, indirect, but not limited to, loss of anticipated or actual profits or business.
In no event shall Patentdata be liable for damages, for any cause or based on any matters arising from this Agreement, in excess of the total amount paid in during the preceding twelve(12) months of service by you to Patentdata under this Agreement.
14. General Compliance with Laws
You agree to comply fully with all applicable laws, statutes, ordinances, rules and regulations, and agree not to use our web site to facilitate collusion or for any other conduct violating anti trust or other applicable laws.
15. Waivers and Remedies
Any waiver by Patentdata of the provisions of this Agreement or of Patentdata's rights or remedies under this Agreement must be in writing to be effective. Any waiver in a particular instance shall not constitute a waiver of the same of different rights or breaches in any other instance. Failure, neglect or delay by Patentdata to enforce the provisions of this Agreement or Patentdata's rights or remedies at any time will not be construed and will not be deemed to be a waiver of Patentdata's rights under this Agreement and will not prejudice Patentdata's right to take subsequent action. No exercise or enforcement of any right or remedy under this Agreement will preclude the enforcement of any other right or remedy under this Agreement or that Patentdata is entitled by law to enforce.
16. Notices
Patentdata may notify you by e-mail, by facsimile or by certified mail.In such case, notice shall be deemed given 1 day after being sent by e-mail or facsimile or 3 days after the date of mailing.
17. Amendments and Modifications
Patentdata reserves the right, in its sole discretion, to supplement, modify or discontinue any aspect of our web site, including, without limitation,restricting the times or means of access to our web site. Patentdata also reserves the right, in its sole discretion, to modify this Agreement in any manner and to adopt additional terms and conditions related to the access and use of our web site, at any time, without prior notice. The terms of any such amendment to this Agreement shall become effective immediately upon posting of such terms on our web site, and your use of our web site on or after such effective data shall constitute acceptance of such amended terms.
18.Independent Contractors
The relationship of Patentdata with you is that of independent contractors, and no agency, partnership, joint venture, employment or other similar relationship is intended or created by your acceptance of the terms of this Agreement or the use of our web site.
19. Entire Agreement
This Agreement sets forth the entire understanding between Patentdata and you with respect to the subject matter of this Agreement and supercedes any previous and contemporaneous communications, representations, understandings and agreements, whether oral or written, between Patentdata and you with respect to said subject matter.
